OwnCrib LLC ( OwnCrib) values its users' privacy. TERMS AND CONDITIONS

1. Purpose:

Your continued use of the Service constitutes your acceptance of these Terms and Conditions. By agreeing to the Terms and Conditions outlined below, You, understand and agree, to the following terms of this Agreement. OWNCRIB (as defined below) is a marketing and services platform and is not a licensed Real Estate Broker acting in such a capacity. OWNCRIB, is a web-based platform and application development company creating a suite of tools, resources, and a website for the general public to interact with each other and Third Parties, making the buying and selling of their own homes easier. OWNCRIB in no way guarantees the sale or purchase of your home, as that will solely be up to the Buyer/Seller/Lender/Title Company themselves. You agree that OWNCRIB is the meeting place for the transaction, and that all interactions on the platform will be between people and entities and not with OWNCRIB directly. OWNCRIB is ONLY responsible for the technology and issues with the platform/website itself, and will be held harmless in regards to issues involving the transaction or interactions between relevant parties using the Services (as defined below) or third parties who do not use the OWNCRIB Services but the parties use as part of the transaction or interaction. Below are the specific terms and conditions for each type of platform member.

OWNCRIB is not your real estate broker.

You are solely responsible for the sale or purchase of your own home, AS WELL AS, hiring Third Party service providers (whether on OWNCRIB or not), interacting with buyers or sellers, making offers, listing properties priced in a reasonable manner and to ensure all documents have been completed on time and completed truthfully.

All Third Parties are NOT representatives of OWNCRIB, and contracting them would be considered a separate transaction, outside of the terms and conditions of OWNCRIB, and governed by the agreement between You and said Third Party(ies).

2. DEFINITIONS:

“You” means a party agreeing to the Services provided by OWNCRIB. This includes all Buyers, Sellers, and Third Party Providers who utilize the Services provided by OWNCRIB.

“OWNCRIB” means OWNCRIB, LLC, OWNCRIB.com, its parent, subsidiaries, and affiliated companies and each of their respective partners, suppliers, licensors, officers, directors, shareholders, employees, representatives, contractors and agents.

“Third Party” or “Third Parties” means any third party, including persons, businesses, entities, title companies, lenders, or otherwise not associated with OWNCRIB.

“Services” means, collectively or as applicable to you, the websites and suite of tools provided by OWNCRIB through OWNCRIB.com pursuant to this Agreement.

“Agreement” means this Terms and Conditions Agreement.

“Seller” means a person, business, or entity listing and selling a property.

“Buyer” means a person, business, or entity purchasing a property.

3. Terms that Apply to Buyers and Sellers:

3.1 You understand and acknowledge that OWNCRIB is not assisting You with selling or purchasing of a home. You are solely responsible for any and all transactions that arise from use of the Services. The information and tools provided by OWNCRIB with your package, in no way, guarantees You will successfully purchase/sell a home.

3.2 Packages/Payments – OWNCRIB uses a Third Party payment provider, and any issues with payments should be directed to them. To request the Payment Provider’s information, email: support@OWNCRIB.com. A Buyer/Seller package will be provided for up to one (1) year, or the completion of a single transaction, whichever occurs first. If You are a Seller and a Buyer, Your purchase and sale of a home would represent two (2) separate transactions. If you wish to sell two (2) homes, that would represent two (2) separate transactions. If you wish to purchase two (2) homes, that would represent two (2) separate transactions. If your home is listed for 366 days , that would represent two (2) separate transactions.

3.3 Legal Capacity - You agree that You are a minimum of 18 years of age or have reached the age of legal adulthood in your jurisdiction and are legally competent to transact business and enter into contracts. You must also be legally able to buy or sell property, and may not buy or sell on behalf of another, unless the necessary Power of Attorney paperwork is included with Your sign-up, and verified.

3.4 Information Accuracy - Information you provide must be factually accurate, and it is Your responsibility to ensure such accuracy. Any information that is determined to be inaccurate at the sole discretion of OWNCRIB, will lead to one or more of the following actions: (1) the immediate removal of Your profile, (3) suspension of account, and/or (3) a lifetime ban from OWNCRIB. In any such situation, monies You paid to OWNCRIB will not be reimbursed. If it is determined that the information was incorrect but provided in good faith, the account will be suspended until the profile is updated and determined to have been corrected, upon review, the account will then be allowed to go live again.

3.5 Third Parties - All Third Party Providers, Buyers, and Sellers using the Services provided by OWNCRIB are not a part of or representatives of OWNCRIB and You understand that each Third Party, Buyer, and Seller are their own entity, acting in their own interest. OWNCRIB is not responsible for their actions. Any Third Party paid for through the Services provided by OWNCRIB will not be reimbursed by OWNCRIB. Any claims, damages, or reimbursements related to services and information provided by the Third Party must be sent directly to the Third Party. If a You deem the actions of any Third Party utilizing the Services provided by OWNCRIB to be detrimental to the OWNCRIB community, OWNCRIB encourages You to file a complaint with OWNCRIB. OWNCRIB will at its sole discretion determine if a Third Party’s removal from OWNCRIB is necessary to protect the integrity of the Services, as well as, the community using OWNCRIB.

3.6 Timely Response – Since real estate transactions are time sensitive, it is important that You respond timely to requests, offers, Third Party providers, and OWNCRIB representatives. All messages, calls or other correspondences shall be answered in a timely manner, not to exceed 48 hours from message/call being made.

3.7 Using an Agent - If You eventually decides to use a real estate agent, You will not be refunded the monies paid by You to OWNCRIB to use the Services. If You decide to use an OWNCRIB “Preferred Agent,” (distinguished as such on the OWNCRIB website), the amount of the buyer’s package will be deducted from the commission of the Preferred Agent upon successful completion of the property purchase and closing. The amount being deducted will be done by the Preferred Agent themselves. If Your package is not subtracted from the commission, email support@OWNCRIB.com.. Agents who are labeled as Preferred Agent, as a part of their agreement with OWNCRIB, are bound to subtract the package from their commissions. OWNCRIB, to ensure a consistent experience with OWNCRIB Services, will investigate and take necessary action including, but not limited to, reimbursement to You from the Agent for the amount not deducted, potential suspension or removal of the Preferred Agent from OWNCRIB, and any necessary legal action provided by the law.

3.8 Non-Preferred Agent – Not all licensed Real Estate professionals will be listed as Preferred Agents on our platform. We do not prohibit Buyers or Sellers who are currently working with a Non-Preferred Agent from using the Services. You may use the Services in conjunction with Your Non-Preferred Agent. The Sellers and Buyers are responsible for the commission fee of a Non-Preferred Agent. Deductions of the OWNCRIB package price and reimbursement of Non-Preferred Agent commission fees are not guaranteed. Any deduction or reimbursement of a Non-Preferred Agent’s commission fee will be determined at the sole discretion of OWNCRIB. OWNCRIBBuyers who would like to make an offer on a house listed with a Non-Preferred Agent OWNCRIB may be able to do so. In this instance, the Buyer must contact the Listing Agent directly, who’s information should be provided in their MLS listing. If a Seller wants to use their own Agent, who is not listed as a Preferred Agent, they may do so, however, the deduction of your OWNCRIB package costs from their commission may not be guaranteed, and will not be refunded by OWNCRIB.

3.9 Pre-Appraisal/Broker Price Option – In the event a Seller elects to receive a pre-appraisal or a broker price option (BPO), the Seller understands that the appraiser and broker are providing their own opinion, acting in their own professional capacity, and that OWNCRIB does not guarantee the estimated value provided. Lender ordered appraisers will provide their own opinion, and the lender reserves the right to use their appraisal as the value for lending purposes. If the value of the are-appraisal or BPO is higher than that of the lender ordered appraisal, the pre-appraisal/BPO can be provided to the lender and their appraiser for dispute or second opinion purposes, however, it is not guaranteed to change their valuation. The purpose of the pre-appraisal/BPO is to provide a professional opinion of the home value, so that Seller may more accurately determine their own listing price. Pre-appraisal will also give Sellers a better understanding of potential issues with FHA/VA loans, so that Sellers can better determine if making their home available to these loan types makes sense for their situation.

4. Terms that Apply to Third Party Providers

- In order to conduct business on the OWNCRIB platform, by using OWNCRIB’s Services, all Third Party Service Providers agree to the following terms and conditions:

o You agree that you are a legally competent agent authorized to act on behalf of such Third Party Service Provider, and that You not acting on behalf of or as a representative of OWNCRIB. Any issues involved in Your transaction, are solely between You and all other t parties involved, whether or not You were put in contact with them through OWNCRIB.

o You understand and agree that the OWNCRIB platform adheres to the laws and regulations set forth in the state in which You operate and will follow such laws and regulations and are subject to them.

o You understand that OWNCRIB does not guarantee Buyers or Sellers on OWNCRIB will use your service.

o You understand and agree that OWNCRIB is a platform that allows for individuals to conduct business with other individuals and only provides the access. OWNCRIB, is not the transaction or transacting party.

o You understand and agree any reimbursements that may be requested from Your Services through Parties in contact with You through OWNCRIB OWNCRIB will be Your responsibility and not the responsibility of OWNCRIB.

o You understand and Agree that access to OWNCRIB’s platform and Services is up to the sole discretion of OWNCRIB as it is OWNCRIB’s responsibility to protect OWNCRIB’s community to the best of its abilities. Therefore, at any time, and for any reason deemed necessary by OWNCRIB, Your access may be suspended, revoked, or terminated without notice for any reason.

o You Understand and Agree that any licenses or permits required by Your industry at a municipal, state, or national level are in good standing and current. If at any point during Your access to OWNCRIB, Your license is suspended or revoked, it is your responsibility to notify OWNCRIB. Your listing will be suspended until proof of reinstatement is provided. OWNCRIB will not reimburse You for payments You made to OWNCRIB for time that Your license is suspended or revoked. If access is being granted, through a package that is longer than a month to month, (i.e. year membership), early termination will require an early termination fee, up to 75% of the remaining

o Since real estate transactions are time sensitive, and OWNCRIB’s aim is to provide the best self-serve experience possible, it is important to respond timely to all correspondence, whether a Buyer or Seller or an OWNCRIB representatives. All messages, calls or other correspondences shall be answered in a timely manner, not to exceed 48 hours from message/call being made (unless message/call was made on or before a weekend, in which the 48 hours of Saturday and Sunday do not count). Correspondence received on the weekend, the 48-hour period will begin at 8:00 am the following Monday. For any correspondence involving a phone, all laws apply and must be followed, including but not limited to Do Not Call Laws.

5. Terms that Apply to All Users of Services

5.1 Discrimination – OWNCRIB is committed to providing equal access to home ownership, and does not discriminate against persons because of race, color, religious, national origin, sex, familial status, or handicap. We follow all of the guidelines set forth by the Federal Fair Housing Act (Title VIII of the Civil Rights Act of 1968, as amended), and also require all users of the Services, including Buyers, Sellers, Third Party Providers, and Preferred Agents to also follow such laws. All real estate property advertised on OWNCRIB is subject to the Federal Fair Housing Act. If any person using the Services feels they have been discriminated against while using the Services provided by OWNCRIB, the person shall make a complaint with OWNCRIB, via email at support@OWNCRIB.com, and also with any necessary governing body. OWNCRIB takes discrimination claims extremely serious and will investigate any claim. After an investigation, either through an internal investigation or an investigation completed by an independent investigator, OWNCRIB reserves the right in its sole discretion to remove the offending party from the platform for a time period of one (1) year up to a permanent removal, as well as, take any necessary legal action provided under the law. OWNCRIB will cooperate with all necessary authorities in assisting with their investigation into discrimination, whether civil or criminal.

5.2 Disclaimers and Limitations of Liability. OWNCRIB will take all reasonable efforts to include accurate and up-to-date information for its Services. OWNCRIB makes no warranties or representations of its accuracy and timeliness and assumes no liability or responsibility for any error or omission. OWNCRIB has no responsibility for any Third Party, Buyer, or Seller’s actions or information provided or posted by others. OWNCRIB does not present or warrant that the Services will not infringe third parties’ rights. Use of the Services provided by OWNCRIB is at your own risk. All express or implied warranties, including without limitation warranties of merchantability and fitness for a particular purpose, warranties against infringement, and warranties that the Services will meet Your requirements or be uninterrupted, timely, secure, or error-free, are expressly disclaimed. OWNCRIB is not responsible or liable for content posted by third parties, actions of any third party, or for any damage to or virus that may infect Your computer equipment or other property. To the extent that OWNCRIB may not disclaim implied warranties as a matter of applicable law, the scope and duration of such warranty shall be the minimum required under applicable law. In not event shall any liability of OWNCRIB to you exceed the amount you have paid to OWNCRIB for your current right to access the OWNCRIB platform and Services.

5.3 Indemnity. You agree to indemnify, defend and hold harmless, OWNCRIB, its parent, subsidiaries, and affiliated companies and each of their respective partners, suppliers, licensors, officers, directors, shareholders, employees, representatives, contractors and agents, from any and all claims (including, but not limited to, claims for defamation, trade disparagement, privacy, and intellectual property infringement) and damages (including attorneys' fees and court costs) arising from or relating to any allegation regarding (1) your use of OWNCRIB’s Services; (2) OWNCRIB’s usage of any content or information You provide, as long as such use is not inconsistent with this Agreement; (3) information or material posted or transmitted through Your account, even if not posted by You; and (4) any violation of this Agreement, including a breach of Your representations and warranties.

5.4 Governing Law. You agree that this Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without giving effect to any principals of conflicts of law. You agree that any action at law or in equity arising out of or relating to this Agreement of the use of OWNCRIB’s Services shall be filed only in the state or federal courts in Michigan, and you hereby consent and submit to the personal jurisdiction of such courts to litigate any such action. The exclusive venue for any such action at law or in equity shall be the state of federal courts of applicable jurisdiction for Ingham County, Michigan.

5.5 Trademark. Certain words, logos, slogans, designs and devices or other materials displayed on OWNCRIB’s website or content distributed by OWNCRIB constitute trademarks, trade names, service marks or logos (“Marks”) of OWNCRIB, whether registered or not. You are not authorized to use any such Marks without prior written permission. Ownership of, and/or permission to disseminate, use, or reproduce, any such Marks and the goodwill associated therewith remains with OWNCRIB.

5.6 Copyright. The content of the Services, including without limitation, text, software, music, sound, photos, graphics, video, page layout and design and other material contained in the Services or information presented through the Services by OWNCRIB (the “Services Content”), is copyrighted by and owned by OWNCRIB under United States and international copyright laws, and may be subject to other intellectual property and proprietary rights and laws, including but not limited to trademark and patent laws. The Services Content may not be copied, modified, reproduced, republished, uploaded, posted, transmitted, sold, offered for sale, or redistributed in any way without the prior written permission of OWNCRIB and our applicable licensors. You must abide by all copyright notices, information, or restrictions contained in or attached to any Services Content. You may use the Services Content online only, and solely for your personal, non-commercial use, and you may download or print a single copy of any portion of the Services Content solely for your personal, non-commercial use, provided you do not remove any trademark, copyright or other notice from such Services Content. If you operate a website and wish to link to this website, you may not do so without advanced written authorization from OWNCRIB. No other use of this website is permitted without prior written permission of OWNCRIB. The permitted use described in this Paragraph is contingent on your compliance at all times with these Terms of Service.

You may not, for example, republish any portion of the Services Content on any internet, intranet or extranet site or incorporate the Services Content in any database, compilation, archive or cache. You may not distribute any Services Content to others, whether or not for payment or other consideration, and you may not modify, copy, frame, cache, reproduce, sell, publish, transmit, display or otherwise use any portion of the Services Content. You may not scrape or otherwise copy our Services Content without express written permission. You agree not to decompile, reverse engineer or disassemble any software or other products or processes accessible through OWNCRIB, not to insert any code or product or manipulate the Services Content of OWNCRIB in any way that affects the user’s experience, and not to use any data mining, robots, data gathering or extraction method in connection with the website. You may not use any meta tags or any other “hidden text” utilizing our name or trademarks without our express written consent.

5.7 Modification of Services. OWNCRIB reserve the right to modify or temporarily discontinue the Services (or any part thereof) or to permanently discontinue operation of the Services with or without notice to you. We shall not be liable to you or any third party if we exercise our right to modify or temporarily discontinue the Services or permanently discontinue operation of the website.

IF YOU OBJECT TO ANY MODIFICATIONS TO THE SERVICES, YOUR SOLE AND EXCLUSIVE RECOURSE SHALL BE TO CEASE USING THE SERVICES. CONTINUED USE OF THE SERVICES FOLLOWING NOTICE OF AND/OR POSTING AS PART OF THESE TERMS OF ANY SUCH MODIFICATIONS SHALL INDICATE YOUR ACKNOWLEDGMENT OF SUCH MODIFICATIONS AND SATISFACTION WITH THE SERVICES AS SO MODIFIED.
